Legal Agreement for ITWC USA Corp Services

By accessing or using the services of ITWC USA Corp ("Company," "we," "us," or "our"), a Florida corporation headquartered in Tampa, Florida, you agree to be bound by these Terms of Service ("Terms"). These Terms apply to all visitors, users, and others who access or use our services, including but not limited to IT consulting, HP enterprise solutions, AI integration, cloud services, and software development.
If you disagree with any part of these terms, you may not access our services. Your continued use of our services following the posting of revised Terms means that you accept and agree to the changes.

ITWC USA Corp provides the following services:
You must be at least 18 years old and capable of entering into legally binding contracts to use our services. By using our services, you represent and warrant that you meet these requirements.
Some services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.

The services and their original content, features, and functionality are and will remain the exclusive property of ITWC USA Corp and its licensors. Our services are protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
Unless otherwise specified in a separate agreement, all work product created by ITWC USA Corp for clients shall become the property of the client upon full payment of all fees. ITWC USA Corp retains the right to use general knowledge, skills, and experience gained during the performance of services.
As an official HP partner, we are authorized to sell, implement, and support HP products and solutions. All HP trademarks, logos, and branding remain the property of HP Inc. and are used under license.
Fees for our services are as quoted in our proposals or service agreements. Unless otherwise specified, payment is due within 30 days of invoice date. We reserve the right to charge interest on overdue amounts at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
All fees are exclusive of taxes. You are responsible for all applicable taxes, including sales tax, value-added tax, and other governmental charges, except for taxes based on our net income.
Both parties agree to maintain the confidentiality of any proprietary or confidential information received from the other party during the term of service provision. This obligation shall survive the termination of these Terms for a period of five (5) years.
We are committed to protecting your privacy and personal data. Our use of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference. We comply with applicable data protection laws, including GDPR where applicable.
We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. If you notify us of any breach of this warranty within 30 days, we will re-perform the non-conforming services at no additional charge.
EXCEPT AS EXPRESSLY PROVIDED HEREIN, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
HP products are covered by HP's standard warranties. We pass through all manufacturer warranties but make no additional warranties regarding HP products beyond those provided by HP.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ITWC USA CORP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OUR SERVICES.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to defend, indemnify, and hold harmless ITWC USA Corp, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of our services.
We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use our services will immediately cease.
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any legal action or proceeding relating to these Terms shall be brought exclusively in the federal or state courts located in Tampa, Florida, and you consent to the personal jurisdiction of such courts.
While ITWC USA Corp operates internationally with offices in the UK, Spain, and Latin America, these Terms are governed by Florida law. Services provided in other countries may be subject to additional local regulations and requirements.
Neither party shall be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, pandemics, or equipment failures.
We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced with a valid and enforceable provision that most closely reflects the original intent.
These Terms constitute the entire agreement between you and ITWC USA Corp regarding the use of our services, superseding any prior agreements between you and us regarding the same subject matter.
